La soci\u00e9t\u00e9 civile de gestion de portefeuille est une technique qui isole le portefeuille de titres du reste du patrimoine et qui optimise la transmission.<\/span><\/p>\n

L\u2019objet des soci\u00e9t\u00e9s civiles de gestion de portefeuille : d\u00e9tenir et g\u00e9rer un portefeuille de titres. Elles agissent pour leur compte au titre de la gestion de leur patrimoine propre.<\/span><\/p>\n

Monsieur A d\u00e9tient des participations dans les soci\u00e9t\u00e9s X, Y et Z et transmet la propri\u00e9t\u00e9 de ses titres \u00e0 une soci\u00e9t\u00e9 civile (SC) qui devient la titulaire des titres des soci\u00e9t\u00e9s X, Y et Z. <\/o:p><\/span><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

La structure soci\u00e9taire remplace dans le patrimoine de l\u2019int\u00e9ress\u00e9 les titres du portefeuille par les parts re\u00e7ues en contrepartie de leurs apports.<\/span><\/p>\n

Cette transmission se fait par voie d\u2019apport ou de cession : les cons\u00e9quences seront financi\u00e8res et fiscales.<\/span><\/p>\n

La soci\u00e9t\u00e9 civile permet \u00e0 des parents d’organiser des conditions favorables \u00e0 la transmission de leur patrimoine<\/b>. Ainsi, la transmission d’un portefeuille \u00e0 une soci\u00e9t\u00e9 civile assure \u00e0 son d\u00e9tenteur la transmission anticip\u00e9e \u00e0 ses h\u00e9ritiers par la voie de la donation-partage des parts de la soci\u00e9t\u00e9.<\/span><\/p>\n

Cette transmission pourra se faire avec tous les outils d\u2019optimisation patrimoniale et fiscale<\/b> : abattement sur les droits de donation, Pacte Dutreil transmission\u2026 <\/span><\/p><\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

La<\/b> soci\u00e9t\u00e9 civile peut opter \u00e0 l\u2019imp\u00f4t sur les soci\u00e9t\u00e9s.<\/b> En cas d’option pour l\u2019imp\u00f4t sur les soci\u00e9t\u00e9s, la soci\u00e9t\u00e9 sera soumise aux r\u00e8gles de droit commun de cet imp\u00f4t. Etant entendu que les revenus de la soci\u00e9t\u00e9 civile seront les dividendes des soci\u00e9t\u00e9s X, Y et Z.<\/span><\/span><\/p>\n

Les associ\u00e9s n’\u00e9tant imposables que sur les seuls revenus distribu\u00e9s (Flat tax).<\/b><\/span><\/p>\n

La soci\u00e9t\u00e9 civile b\u00e9n\u00e9ficiera du r\u00e9gime m\u00e8re-fille : pas de double-imposition<\/span>.
